    END USER LICENSE AGREEMENT

    IMPORTANT! Carefully read the following terms and conditions
    before  installing  and  using this SOFTWARE PRODUCT , which
    includes   computer   SOFTWARE   PRODUCT   and  may  include
    associated    media,   printed   materials,   and   "online"
    or  electronic  documentation.  Installing, copying or using
    this  SOFTWARE  PRODUCT indicates acceptance of this license
    agreement. The SOFTWARE PRODUCT also may include updates and
    supplements   to  the  original  SOFTWARE  PRODUCT  provided
    by  ARSENAL.  You  agree  to  be  bound by the terms of this
    license   agreement  by  installing,  copying,  downloading,
    accessing  or  otherwise using the SOFTWARE PRODUCT.  If you
    do  not  agree,  do  not  install  (CLICK  THE  BUTTON  THAT
    INDICATES  THAT  YOU  DO NOT ACCEPT THE TERMS AND CONDITIONS
    AND  DO  NOT  INSTALL  THE  SOFTWARE  PRODUCT  )  or use the
    SOFTWARE   PRODUCT;   you   may  return  it  to  your  place
    of purchase for a full refund.

    1.        GRANT   OF  LICENSE.  ARSENAL  hereby  grants  you
    a  limited,  non- exclusive, non-transferable license to use
    the ARSENAL SOFTWARE PRODUCT. The license permits you to:
    a.       Install  and  use  one copy of the SOFTWARE PRODUCT
    on  a  single  computer,  including  a workstation, terminal
    or other digital electronic device  ("COMPUTER");
    b.       Load  the  SOFTWARE  PRODUCT   into your computer's
    temporary memory (RAM);
    c.       Install  the  SOFTWARE  PRODUCT   onto  a permanent
    storage   device   (a   hard   drive)  as  detailed  in  the
    documentation;
    d.       Store  or install a copy of the SOFTWARE PRODUCT on
    a storage device, (a network server), used solely to install
    or  run  the  SOFTWARE  PRODUCT on your other COMPUTERS over
    an  internal  network.  In  that  case  you  should  acquire
    a  license  for  each COMPUTER on or from which the SOFTWARE
    PRODUCT  is  installed,  used,  accessed,  displayed or run.
    A license for the SOFTWARE PRODUCT may not be shared or used
    concurrently on different COMPUTERS;
    e.       Make  a  single  copy  of  the SOFTWARE PRODUCT for
    backup  purposes, provided the copy that contains all of the
    original SOFTWARE PRODUCT proprietary notices and that it is
    only used for back-up purposes;
    f.      Create printouts of output from the SOFTWARE PRODUCT
    for your personal use only.

    2.      RESTRICTIONS. The license granted hereunder does not
    permit you to:
    a.      Permit other individuals to use the SOFTWARE PRODUCT
    except   pursuant  to  the  terms  and  conditions  of  this
    Agreement;
    b.       Modify,  translate,  reverse  engineer,  decompile,
    disassemble,   or  create  derivative  works  based  on  the
    SOFTWARE PRODUCT ;
    c.       Copy  the SOFTWARE PRODUCT  other than as specified
    above;  rent,  lease,  grant  a  security  interest  in,  or
    otherwise attempt to transfer rights to the SOFTWARE PRODUCT;
    d.       Remove  or  alter any proprietary notices or labels
    on  the  SOFTWARE  PRODUCT   when  creating permitted copies
    of  the  SOFTWARE  PRODUCT  ,  or permitted printouts of the
    SOFTWARE PRODUCT  output;
    e.       Make  unauthorised copies. The SOFTWARE PRODUCT  is
    licensed  to  you,  the end user,  pursuant to the terms and
    conditions of this Agreement. You agree and acknowledge that
    ARSENAL  transfers  no  ownership  interest  in the SOFTWARE
    PRODUCT  ,  in  the  intellectual  property  in the SOFTWARE
    PRODUCT  ,  to  you  or  anyone  else  under  this Agreement
    or  otherwise,  and  that  ARSENAL  reserves  all rights not
    expressly   granted   to  you  hereunder.  Any  reproduction
    or  redistribution  of  the  SOFTWARE  PRODUCT  in violation
    of  this  Agreement  is expressly prohibited by law, and may
    result in severe civil and criminal penalties.
    f.       Customize  the  installer  for the SOFTWARE PRODUCT
    (e.g.,  installation  of additional plug-in and help files),
    you  may not otherwise alter or modify the installer program
    or create a new installer for the SOFTWARE PRODUCT .

    3.      LIMITED WARRANTY. ARSENAL warrants that the SOFTWARE
    PRODUCT  will  perform  substantially in accordance with the
    accompanying  written  materials for a period of ninety (90)
    days from the date of receipt.

     
    4.       DUAL-MEDIA  SOFTWARE.  You may receive the SOFTWARE
    PRODUCT  in  more  than  one  media.  Regardless of the type
    or  size  of  media  you receive, you may use only one media
    that  is  appropriate  for your single computer. You may not
    use  or install the other media on another computer. You may
    not  loan, rent, lease, lend or otherwise transfer the other
    media to another user.

    5.        DISCLAIMER   OF  WARRANTY:  The  SOFTWARE  PRODUCT
    is  provided  on  an  "as is" basis, without warranty of any
    kind  from  ARSENAL, expressed or implied, including without
    limitation  warranty  of  merchantability,  free of defects,
    fitness   for  a  particular  purpose  and  non-infringement
    of third party rights. The entire risk as to the quality and
    performance of the SOFTWARE PRODUCT  is borne by you. Should
    the SOFTWARE PRODUCT prove defective in any respect, you and
    not  ARSENAL  or its suppliers assume the entire cost of any
    service  and repair. This disclaimer of warranty constitutes
    an  essential  part  of the License Agreement. No use of the
    SOFTWARE  PRODUCT  is authorized hereunder except under this
    disclaimer.

    In no event will ARSENAL be liable to you for consequential,
    incidental,  special  or  exemplary  damages  arising out of
    a  breach  of  this agreement or warranty or your use of the
    SOFTWARE PRODUCT , including but not limited to lost profits
    or  loss  of  business,  even  if  ARSENAL has been apprised
    of the likelihood of such damages occurring.

    ARSENAL  will  have no obligation to you with respect to any
    claim  of  infringement  based upon your use of the SOFTWARE
    PRODUCT   in  combination,  operation  or otherwise with the
    data or materials not supplied by ARSENAL.

    6.        COPYRIGHT  AND  TRADEMARK  RIGHTS.   The  SOFTWARE
    PRODUCT   is  owned  by  ARSENAL  and its suppliers, and its
    structure,   organization  and  code  are  the  intellectual
    property of ARSENAL and its suppliers.  The SOFTWARE PRODUCT
    also  is  protected  by  Russian  Federation  Copyright  Law
    (Russian Federation Law Act N3523-1 as of 23 September 1992)
    and  International Treaty provisions. You may use trademarks
    only  insofar  as  required to comply with Section 1 of this
    Agreement,  in  accordance with accepted trademark practice,
    including  identification  of  trademark owner.  Such use of
    any  trademark  does  not  give  you any rights of ownership
    in  that  trademark.   This Agreement does not grant you any
    intellectual property rights in the SOFTWARE PRODUCT .

    7.        Governing   Law   and  General  Provisions.   This
    Agreement  will  be governed by Russian Federation Copyright
    Law.  If  any  part  of  this  Agreement  is  found void and
    unenforceable,  it  will  not  affect  the  validity  of the
    balance  of  the  Agreement,  which  shall  remain valid and
    enforceable  according  to  its  terms.  This Agreement will
    be  automatically  terminated  upon failure by you to comply
    with  its  terms.   This  Agreement  may  only  be  modified
    in   writing   signed   by   an   authorized  representative
    of ARSENAL.
