Below the first idea of a  "directory structure". Ideas welcome.

The main index.html just the list with the "top-level links"  which points to 
other html pages. To make the result a bit less click-needy, the convert program 
will make it to one big html file that looks exactly like the original (netscape)
bookmarks file i.e. with this nice "sub-folders".
You can then import this file via Netscapes bookmark edit menu into your 
existing bookmarks file.

I suggest to place the package in ~bookmarks/public_html to be able to
get accessed via http://localhost/~bookmarks !

The formats will be (of course) normal html and also the convert program
will be useable for other purposes.
